UAE Corporate Tax: What Business Owners Need to Know
How UAE corporate tax works in practice — who registers, what is taxed, and the compliance obligations that follow.

UAE corporate tax applies to the profits of businesses and business activity conducted in the UAE. Registration with the Federal Tax Authority is required for taxable persons regardless of whether tax is ultimately payable, a small-business relief and a 0% band apply below the statutory threshold, and qualifying free zone persons may access a 0% rate on qualifying income if strict conditions are met. Rates, thresholds and conditions are set by federal law and can change — confirm current figures with the FTA or an advisor before you rely on them.
Who it applies to
Corporate tax reaches UAE-incorporated companies, foreign companies effectively managed and controlled in the UAE, and individuals conducting a licensed business activity above the relevant threshold. Employment income, personal investment income and personal real estate income are generally outside its scope. The critical practical point is that registration is an obligation in its own right: being below the profit threshold does not remove the requirement to register and file.
Free zones are not automatically exempt
This is the most common misunderstanding we correct. A free zone entity is not exempt from corporate tax by virtue of being in a free zone. It may qualify for a 0% rate on qualifying income as a Qualifying Free Zone Person, but only if it maintains adequate substance in the zone, derives qualifying income as defined in the legislation, does not elect to be taxed at the standard rate, and satisfies transfer pricing and documentation requirements. Failing any condition can move the entity to the standard rate — and the assessment is made against the specific facts of your business, not the zone's marketing material.
What the compliance cycle looks like
The cycle is: register with the FTA and obtain a tax registration number; maintain accounting records that support the return; determine taxable income by adjusting accounting profit for the exclusions, exemptions and disallowed items in the law; file the return within the statutory deadline after the end of the tax period; and pay any liability by the due date. Records must be retained for the statutory period. Late registration, late filing and late payment each carry their own penalties.
Where it interacts with the rest of your obligations
Corporate tax sits alongside, not instead of, your other filings. VAT is a separate registration with its own threshold and its own return cycle — see the distinction below. Transfer pricing documentation applies to transactions with related parties and connected persons above certain thresholds. Economic Substance and UBO obligations continue to apply where relevant. Businesses that treat these as one undifferentiated "compliance" task tend to miss at least one deadline.
Corporate tax and VAT are not the same thing
VAT is a consumption tax charged on taxable supplies of goods and services, collected from your customers and remitted to the FTA. Corporate tax is a direct tax on your business profit. You can be registered for one and not the other. A business below the VAT registration threshold may still have corporate tax obligations, and a VAT-registered business making no profit may have a corporate tax return to file showing exactly that.
Getting the groundwork right
The businesses that find corporate tax straightforward are the ones whose bookkeeping was already accurate. If your records are incomplete, reconstructing a defensible taxable income figure at filing time is expensive and slow. Clean monthly bookkeeping, a documented related-party policy and a calendar of filing dates cover most of what the regime asks of a small or mid-sized UAE business.
